Terms and Conditions

These Terms & Conditions ("Terms") govern your access to and use of CoNexa Pro.

By creating an account, registering a company workspace, subscribing to a plan, or using CoNexa Pro, you agree to these Terms.

If you do not agree with these Terms, please do not use the Service.

1. About CoNexa Pro

CoNexa Pro is a construction operations platform operated by Advance Digital Team in the Philippines.

The platform provides tools for managing construction projects, including project information, BOQs, schedules, reports, procurement, materials, manpower, equipment, costs, documents, artificial intelligence features, and related construction operations.

Features may change or expand as the platform develops.

2. Accounts and Company Workspaces

You must be at least 18 years old to create an account.

If you create or manage a CoNexa Pro workspace on behalf of a company or organization, you confirm that you are authorized to do so.

You are responsible for:

  • providing accurate account information;
  • protecting your login credentials;
  • managing access to your company workspace;
  • ensuring that authorized Users use the Service appropriately; and
  • activity performed through accounts under your control.

Please contact us promptly if you believe an account has been accessed without authorization.

3. Customer Data

You retain ownership of the information, documents, photos, project records, and other content that you or your authorized Users upload or enter into CoNexa Pro.

We do not claim ownership of your Customer Data.

You are responsible for ensuring that:

  • the information you upload is lawful and appropriate;
  • you have the necessary rights or permissions to use it;
  • personal information is collected and processed lawfully; and
  • your Users comply with applicable laws and these Terms.

Our handling of personal information is described in our Privacy Policy.

4. Acceptable Use

You may use CoNexa Pro only for lawful business purposes.

You must not:

  • use the Service for unlawful or fraudulent activities;
  • upload malicious software or harmful content;
  • attempt to access another customer's data or workspace;
  • bypass security or access controls;
  • interfere with or disrupt the Service;
  • misuse automated tools to scrape or extract information;
  • resell or redistribute the Service without permission; or
  • copy, reverse engineer, or misuse CoNexa Pro or its proprietary materials except where permitted by law.

We may restrict or suspend access where reasonably necessary to protect the Service, our customers, or other Users.

5. Plans, Subscriptions, and Payments

CoNexa Pro may offer different subscription plans, pricing, capacities, and service levels.

The pricing and plan details shown when you subscribe will apply to your subscription.

Unless otherwise stated:

  • prices are shown in Philippine pesos;
  • subscriptions are billed according to the selected billing period;
  • applicable taxes may be added where required by law;
  • paid fees are generally non-refundable except where required by law or expressly stated otherwise; and
  • cancellation will normally take effect at the end of the current paid period.

We may change pricing, plans, limits, or features from time to time.

Where a change materially affects an existing paid subscription, we will provide reasonable notice before the change takes effect.

6. Free Trials and Promotional Offers

We may offer free trials, introductory rates, founding-member rates, discounts, or other promotional offers.

Each offer may have its own duration, eligibility requirements, pricing, and conditions.

Unless expressly stated otherwise, promotional pricing does not guarantee the same price after the promotional period ends.

7. Service Availability

We aim to keep CoNexa Pro reliable and available, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of maintenance, updates, security work, third-party services, internet conditions, technical issues, or circumstances outside our reasonable control.

We may add, change, improve, or remove features as the platform develops.

8. Third-Party Services

CoNexa Pro relies on third-party technology and service providers for functions such as:

  • hosting and data storage;
  • email delivery;
  • payment processing;
  • security;
  • analytics;
  • infrastructure services; and
  • artificial intelligence.

Some parts of the Service may therefore depend on systems outside our direct control.

We will use reasonable efforts to maintain the Service, but we are not responsible for outages or failures caused solely by third-party providers or events outside our reasonable control.

9. Construction and Project Information

CoNexa Pro may calculate, organize, display, or generate construction-related information including:

  • quantities and prices;
  • budgets and costs;
  • project progress;
  • schedules;
  • procurement information;
  • manpower and equipment information;
  • reports;
  • forecasts;
  • project performance indicators; and
  • other construction management information.

These features are intended to support your construction operations.

The accuracy of outputs depends on the information entered into the platform.

CoNexa Pro does not replace professional engineering, architectural, accounting, quantity-surveying, legal, tax, safety, or other professional advice.

Customers remain responsible for reviewing and verifying information before using it for contracts, payments, certifications, procurement, engineering decisions, financial decisions, or other important purposes.

10. AI Features

Some features of CoNexa Pro use artificial intelligence to generate summaries, drafts, reports, insights, classifications, or other content.

AI-generated output may be inaccurate, incomplete, or unsuitable for a particular situation.

Users should review AI-generated content before relying on it.

AI output should not be treated as professional engineering, architectural, legal, accounting, financial, safety, or other expert advice.

The Customer remains responsible for decisions made using AI-generated content.

11. Intellectual Property

CoNexa Pro, including its software, design, interfaces, branding, documentation, templates, and related materials, is owned by or licensed to Advance Digital Team and is protected by applicable intellectual property laws.

Your subscription gives you a limited right to use the Service while your account or subscription remains active.

It does not transfer ownership of CoNexa Pro or its intellectual property to you.

12. Data Protection

Your use of CoNexa Pro is also subject to our Privacy Policy.

Customers are responsible for ensuring that personal information entered into their workspace is collected and processed lawfully.

We use reasonable measures designed to protect information handled through the Service.

13. Suspension and Termination

We may restrict or suspend access where reasonably necessary to:

  • protect the security of CoNexa Pro;
  • investigate suspected misuse;
  • address serious violations of these Terms;
  • address unpaid subscription fees; or
  • comply with legal requirements.

Customers may cancel their subscription through available account controls or by contacting us.

When a subscription ends, access to the Service and Customer Data may be limited or terminated in accordance with our applicable policies and agreements.

Customers should export any information they need before their access ends.

14. Disclaimer

To the fullest extent permitted by applicable law, CoNexa Pro is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • the Service will always be available or error-free;
  • all information or calculations will always be complete or accurate;
  • every feature will meet every customer's particular requirements; or
  • AI-generated content will always be correct or suitable.

You remain responsible for reviewing and verifying information before relying on it.

Nothing in these Terms removes any right or protection that cannot legally be excluded under applicable Philippine law.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Advance Digital Team and CoNexa Pro will not be liable for indirect, incidental, special, consequential, or similar losses resulting from the use of the Service.

This may include loss of profits, revenue, business opportunities, project delays, or losses arising from decisions based on inaccurate or incomplete information entered into or generated by the Service.

Nothing in these Terms limits liability that cannot legally be limited under Philippine law.

Different or additional terms may apply where agreed in a separate written Enterprise or service agreement.

16. Changes to These Terms

We may update these Terms as CoNexa Pro, our business practices, or applicable laws change.

Where changes materially affect customers, we may provide notice through the website, platform, email, or another reasonable method.

The latest version will always display its effective date.

17. Governing Law

These Terms are governed by the laws of the Republic of the Philippines.

Any dispute relating to these Terms or the use of CoNexa Pro will be handled in accordance with applicable Philippine law.
